Orrick Herrington & Sutcliffe LLP is seeking a Global Equity Compensation a Managing Associate or Senior Associate with 5 to 9 years of experience to join our Global Employment and Equity Compensation Group (ideally in our New York office).

The successful candidate will join the Global Employment and Equity Compensation team within the Employment Law Group. Duties will include counselling clients on a wide variety of day-to-day global equity questions for our fast growth technology company clients, managing global equity compensation compliance programs, including securities and foreign exchange filings, for our large multinational clients, and working on equity compensation matter in transactions (e.g. mergers and acquisitions, SPAC offerings, tender offers), including assisting in diligence and transactional documentation. Other duties will include but are not limited to preparing multi-country analyses, drafting equity plans and award agreement and compensation related documents, project managing global teams, conducting multijurisdictional research with global teams, and assisting with the preparation and delivery of analysis and research to clients in writing and in client meetings. The person would enjoy working across practice groups and in interdisciplinary teams. The person would have an opportunity to also work on global employment matters and interest in expanding their expertise into employment agreements, handbooks, bonus and commission plans, and diligence projects concerning employment and compensation aspects of global M&A transactions, is a plus. The client focus would be on both the large public company and the fast growth technology company space.

The ideal candidate will have 5 to 9 years of Global Equity Compensation experience in a major law firm or big four accounting firm, strong academic credentials, exceptional verbal, written, interpersonal skills and a member of the Bar in the location they will work and reside in. Preference is for the person to be located in New York, San Francisco, Silicon Valley or Santa Monica, however other locations and remote work can be discussed. The ideal candidate will have foreign language skills and experience living or working outside of the U.S.
