Orrick currently has an excellent opportunity for a Technology Companies Group Paralegal. This position will be located in one of the following offices: Santa Monica, Seattle, Silicon Valley, San Francisco, or the Global Operations Center in Wheeling WV.

Are you looking for a paralegal position where you can use your 8+ years of experience? Do you have a high level of initiative and drive? We are looking for an experienced Paralegal to join our TCG practice group.

As a Sr. Paralegal, you will support the delivery of quality legal services to clients. Perform tasks that require the regular exercise of advanced discernment in the method and manner of performing services. You will use significant substantive knowledge and specialization in your area of expertise, mentoring skills, delegation skills, advanced organizational and issue identification skills, strong written and oral communication skills and excellent computer skills.

You will have the following responsibilities, including but not limited to:
• You will prepare organizational documents and handle the maintenance of company corporate records.
• You will do blue sky research and prepare and file necessary state and federal filings
• You will draft board and stockholders consents, assist in note and preferred stock financing closings, manage equity plans and capitalization tables.

• Bachelor's degree is required, a paralegal certificate from an ABA approved program is preferable but not required.
• Have at least eight years of Orrick equivalent paralegal experience is required.
• Have demonstrated organization, verbal and written communication skills.
• Have specific and detailed knowledge and understanding of complex issues and procedures.
• Significant working knowledge of US Bankruptcy Code and the court procedures, Delaware General Corporate Law, New York Business Corporate Law, and California Corporations Code. Have an understanding and previous application of the local rules regarding bankruptcy administrative filings of other states.
• Have distinguished time management skills, and calm in a time constrained, dynamic environment are important.
• Advanced computer skills with proficiency in Microsoft Word and Excel and any practice related software.

California Requirements: In the California offices, paralegals have to meet the qualifications, including compliance with the continuing education requirements, as set forth in the California Business and Professions Code, Section 6450 et seq. Paralegals have to also be compliant with California Business & Professions Code Sections 6450(c)(3) or 6450(c)(4) relating to an Attorney Attestation.
