As a Project Manager, you will be an integral member of Orrick's financing team assigned to public finance projects. Although primarily intended to function as a part of our bond counsel role (which is predominant in our West Coast offices), you can be involved in other roles for which we are hired, such as disclosure counsel, underwriter's counsel and bank counsel.

You will take on the management of the deal mechanics so that the lawyers can focus on major legal issues, negotiation of business terms, financing strategy and business development. A typical finance team might include a partner (or of counsel) in the lead role, an associate and a Project Manager.

You'll be assigned to the program and may stay with it for several years, will get to know the clients and their staff, and be a key resource and focal point for the entire financing team. In many transactions, you will have as much time invested in a transaction as the primary lawyer on the deal.

You will perform a wide array of tasks, including but not limited to:
• Organizing, coordinating and leading transactions for closings
• Drafting legal documents, resolutions, opinions and closing documents
• Coordinating notices and hearings for public entities
• Preparing of initial drafts of documents for attorney review
• Participating in business development events and conferences
• Performing legal research, manage initial major legal documents, manage due diligence process
• Preparing and revising proceedings document per interested parties' input
• Maintaining, updating and completing the transaction database information

• Bachelor’s degree and/or paralegal certificate from an ABA approved program
• California Bus. & Prof. Code Sec. 6450 compliant
• 3-5 years of experience as a paralegal in public finance or secured transactions, lending and finance preferred
• Technical knowledge in a windows / office environment and ability to think actively and creatively about the use of technology within the department
• Strong organization, communication and writing skills
• Strong interpersonal/client-service skills
• Ability to handle multiple tasks, detail oriented, and work efficiently
• Deep understanding of public finance transaction structure
• Reliability and flexibility with respect to hours of work to meet transaction demands

California Requirements: In California, Project Managers must meet the qualifications, including compliance with the continuing education requirements, as set forth in the California Business and Professions Code, Section 6450 et seq.
